About the role

Legal Talent Search, a project of Kapital HR and JURIDICE.ro, is looking for Lawyers specialized in Corporate and

M&A, with experience of 3 to 7 years.

This is a position that requires practice in a varied range of commercial transactions,

including mergers, acquisitions, strategic partnerships, restructurings and other forms of reorganization of

businesses.

  • Complete legal assistance: Provides complex legal consultancy to clients, including large corporations, investment funds and entrepreneurs, in all phases of merger and acquisition processes, from initiation to completion.
  • Drafting and negotiation: Drafts, reviews and negotiates essential commercial contracts, share purchase agreements, asset sale-purchase contracts, memoranda of understanding, confidentiality agreements, and other legal documents associated with transactions.
  • Due diligence: Coordinates and carries out due diligence processes to identify and assess legal risks, including examination of corporate documentation, existing contracts, regulatory aspects and potential litigation.
  • Project management: Supervises and coordinates the teams involved in transactions, ensuring that all stages are carried out in accordance with the deadlines and the client's requirements.
  • Strategic consultancy: Provides advice and practical solutions for optimizing the structure of transactions, including fiscal, financial and regulatory aspects, in order to maximize value for the client and minimize risks.
  • Client relationship: Maintains and develops relationships of trust with clients, ensuring that their interests are protected and that they are informed about all relevant aspects of the transactions.
Requirements

Requirements

  • Relevant experience, in a similar role, with exposure to complex merger and acquisition transactions.
  • Solid knowledge in corporate and commercial law: A deep understanding of the relevant legislation, of the capital markets and of the regulations applicable in the field of mergers and acquisitions.
  • Excellent communication and negotiation skills: The ability to communicate clearly and efficiently with clients, colleagues and other parties involved in transactions.
  • Attention to detail and analytical thinking: The ability to identify critical legal problems and to provide innovative solutions to address them.
  • Adaptability and proactivity: The flexibility to work in a dynamic environment, with tight deadlines, and the initiative to take on and manage various aspects of the transactions.
  • Fluency in English.
